1.1. www.impact-medical.ca is a platform for purchasing medical supplies, including products such as syringes, needles, wound care products, and other medical equipment (but excluding drugs or pharmaceuticals). 2. Acceptance

3. Eligibility and Requirements
3.1 User Age

3.2. Children’s Age Policy

Our platform is not directed towards minors, and we do not knowingly collect or solicit personal information from any minors in compliance with relevant laws applicable to the user’s jurisdiction, including but not limited to The Child, Youth and Family Enhancement Act, and any other applicable law.

5. User Accounts and Registration
5.1. To access and utilize our services, you must create an account. The registration process will require you to provide certain personal and contact information, including but not limited to:
- 5.1.1. Full Legal Name: As it appears on official identification.
- 5.1.2. Email Address: For communication, order updates, and account notifications.
- 5.1.3. Phone Number: For customer support, account recovery, or emergency contact.
- 5.1.4. Delivery Address: For processing orders and shipping products or services.
- 5.1.5. Password: To secure your account and prevent unauthorized access.

6.1.1. You agree not to engage in any activities that may disrupt, damage, or impair the functionality or security of the Platform, or interfere with other users’ ability to access or use the Platform. This includes, but is not limited to:
- 6.1.1.1. Engaging in any form of unlawful activity on the Platform, including fraudulent transactions, theft of data, or hacking.
- 6.1.1.2. Using the Platform in a manner that violates any applicable laws or regulations, whether local, state, national, or international.
- 6.1.1.3. Impersonating any individual or entity, or falsely representing your affiliation with any person or organization.
6.1.2. You agree not to attempt to reverse-engineer, disassemble, decompile, modify, or create derivative works based on the Platform, any part of the Platform, or its content, unless specifically authorized by us in writing. This includes:
- 6.1.2.1. Copying, reproducing, distributing, transmitting, broadcasting, displaying, or otherwise exploiting any content from the Platform without prior written consent from us or the relevant content owners.
- 6.1.2.2. Attempting to gain unauthorized access to any part of the Platform, servers, or systems associated with the Platform through any means, including but not limited to hacking, scraping, or other technical means.
6.1.3. You agree to comply with all applicable laws, rules, and regulations in your jurisdiction when using the Platform, including laws relating to online conduct, intellectual property, and the purchase of products. You acknowledge that:
- 6.1.3.1. Any transactions or purchases made on the Platform must comply with applicable consumer protection laws, tax regulations, and any other relevant laws.
- 6.1.3.2. You will not use the Platform to engage in illegal activities, including the sale or purchase of prohibited or restricted goods, or any actions that would violate any applicable national or international laws, including import/export restrictions and intellectual property rights.
6.1.4. You agree not to use the Platform in any manner that could damage, disable, overburden, or impair the Platform’s servers or interfere with any other party’s use of the Platform. This includes, but is not limited to, using automated scripts, bots, or other methods to access the Platform in a manner that exceeds reasonable or intended usage.
6.1.5. If you believe any content on the Platform violates these Terms & Conditions or applicable laws, or if you witness any unauthorized use, you agree to promptly report such activity to us. We will review such reports and take appropriate action as necessary.

9. Payment and Refund Policy

- 9.2.1. We strive to ensure the quality of our products. If a product is found to be defective or damaged upon delivery, you may request a exchange within 48 hours of receiving the product. To initiate a return or request a refund, please contact our customer support team with your order details, including the nature of the defect or damage, and any supporting evidence (such as photographs, if applicable). We will then provide instructions for returning the product.
- 9.2.2. Please note that the return or exchange will be processed only if the product is returned in its original condition, including packaging, and if the return is authorized by our customer support team.

10. Indemnification

By accessing or using the Platform, you agree to indemnify, defend, and hold harmless www.impact-medical.ca, including its affiliates, subsidiaries, officers, directors, employees, agents, partners, contractors, and licensors (collectively referred to as “Indemnified Parties”), from and against any and all claims, damages, losses, liabilities, costs, expenses, and demands, including but not limited to legal fees and expenses, arising from or related to the following:
10.1.1. Any claims, damages, or liabilities arising from your use of the Platform, or your inability to access or use any part of the Platform, including any technical issues, downtime, or errors in the system. This includes claims related to any interruptions in service, delays, or failures to deliver products or services through the Platform.
10.1.2. Any breach by you of these Terms and Conditions, including but not limited to violations of any rules, restrictions, or obligations outlined in any other section of these Terms. This also includes any failure by you to comply with any applicable laws, regulations, or policies related to your use of the Platform.
10.1.3. Any claims or legal actions resulting from your violation of applicable laws, regulations, or governmental policies. This includes, but is not limited to:
- 10.1.3.1. Breaches related to data protection, privacy, and security regulations.
- 10.1.3.2. Violations of intellectual property laws, including copyright, trademark, and patent infringements.
- 10.1.3.3. Non-compliance with medical supply regulations, including those governing the sale, distribution, and handling of medical products or equipment.
10.1.4. Any claims or legal actions arising from your infringement of third-party rights, including intellectual property rights, proprietary rights, or other legal claims related to content, trademarks, patents, or other rights owned by third parties. This includes the use of the Platform in a manner that infringes on the rights of others, including the use of unauthorized or infringing content.
10.1.5. Any claims, losses, or liabilities arising from your engagement in fraudulent, unlawful, or malicious activities while using the Platform. This includes but is not limited to engaging in identity theft, data theft, fraud, or distributing malicious software, viruses, or malware that could harm the Platform, other users, or third parties.
10.1.6. Any claims, damages, or liabilities resulting from the use of products purchased through the Platform, including, without limitation:
- 10.1.6.1. Product defects, damages, or failures.
- 10.1.6.2. Improper handling, misuse, or misapplication of products, including failure to follow recommended usage instructions or safety guidelines.
- 10.1.6.3. Any injuries, health risks, or adverse effects caused by the use of products, particularly in the case of medical supplies or equipment.
10.1.7. You agree to cooperate fully with www.impact-medical.ca in the defense of any claim that may arise under the indemnification provisions of this section. You acknowledge that we have the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with impact-medical.ca in the defense of such matters.
10.1.8. You agree to promptly notify us in writing of any claims, lawsuits, or proceedings that may give rise to indemnification obligations under this section. This includes providing all relevant information and documentation related to the claim, and taking all reasonable steps to mitigate any potential damage resulting from the claim.
10.1.9. Your indemnification obligations under this section will survive the termination or expiration of these Terms and Conditions, as well as your use of the Platform. This means that even after you cease using the Platform or your account is terminated, your responsibility to indemnify the Indemnified Parties will continue for any claims that arose while you were using the Platform.
10.1.10. Nothing in this indemnification clause shall limit or exclude any liability for actions or omissions that are grossly negligent, fraudulent, or willfully wrongful.
11. Limitation of Liability
11.1. www.impact-medical.ca shall not be held liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or in connection with the use, or inability to use, the Website, products, or services provided. This includes, but is not limited to, any loss of profits, business interruptions, loss of data, loss of goodwill, or any other type of financial or reputational harm, regardless of whether www.impact-medical.ca was advised of the possibility of such damages.
11.2. Furthermore, we will not be responsible for any injuries, damages, or defects arising from the use of purchased products, including, but not limited to, product malfunctions, failure to follow safety instructions, or improper use of the products by the customer. www.impact-medical.ca disclaims any responsibility for damages resulting from the user’s misuse of the Website or products, as well as any claims made by third parties, arising from or in connection with the customer’s use of the products.
11.3. In no event shall www.impact-medical.ca’s total liability, whether in contract, tort (including negligence), or otherwise, exceed the total amount paid by the customer for the specific product or service that caused the damage or claim.
11.4. This limitation of liability applies to the fullest extent permitted by applicable law and is not intended to limit any statutory rights that the customer may have under applicable law.
12. Intellectual Property
12.1. www.impact-medical.ca, along with all associated trademarks, content, platform, algorithms, and intellectual property, is the exclusive property of the Company. By using our platform and services, users acknowledge and agree to the following:
- 12.1.1. All copyrights, trademarks, proprietary algorithms, design elements, and other intellectual property related to www.impact-medical.ca are owned solely by the Company. Users do not acquire any ownership, title, or rights in the platform, its features, or its underlying technology.
- 12.1.2. Users are granted a non-exclusive, non-transferable, and revocable license to use www.impact-medical.ca strictly in accordance with the Terms & Conditions (T&C). This license does not permit users to copy, modify, distribute, or create derivative works based on the platform.
- 12.1.3. Users must not engage in reverse engineering, decompiling, unauthorized reproduction, or redistribution of www.impact-medical.ca or its components. Any attempt to extract, modify, or commercially exploit the platform without explicit written consent from the Company is strictly prohibited.
- 12.1.4. The www.impact-medical.ca name, logo, branding elements, and related trademarks are legally protected. Unauthorized use of these trademarks for personal, commercial, or competitive purposes is strictly forbidden.
13. Disclaimer of Warranties
13.1. The Platform is provided to you on an “as is” and “as available” basis. www.impacy-medical.ca does not make any representations or warranties of any kind, express or implied, regarding the functionality, accuracy, completeness, reliability, or suitability of the Platform or its content. This includes, but is not limited to, any representations concerning the products, services, or any other content offered through the Platform.
13.2. To the fullest extent permitted by applicable law, we expressly disclaim any and all warranties, whether express, implied, statutory, or otherwise. This includes, but is not limited to, the following:
13.2.1. Implied Warranties of Merchantability: We do not warrant that the products or services offered through the Platform will meet your specific needs or expectations, nor do we guarantee the commercial quality or fitness for any particular purpose.
13.2.2. Implied Warranties of Fitness for a Particular Purpose: We make no warranty that the Platform, or any product or service obtained through it, will be fit for your intended use or purposes.
13.2.3. Implied Warranties of Non-Infringement: We do not warrant that the content, products, or services provided on the Platform will not infringe upon the rights of third parties, including intellectual property rights.
13.2.4. Implied Warranties of Course of Performance: We make no warranties about the continued availability or operation of the Platform, nor do we make any representations regarding the handling of transactions, communications, or other performance aspects of the Platform.
13.2.5. Specifically, we do not warrant or guarantee that:
- 13.2.5.1. Uninterrupted, Secure, or Error-Free Operation: The Platform will be available without interruption, error, or security vulnerabilities at all times. There may be instances where the Platform is temporarily unavailable due to maintenance, technical issues, or other unforeseen circumstances
- 13.2.5.2. Product, Service, or Information Quality: The quality of any products, services, or information you obtain through the Platform will meet your expectations or that any defects or errors in the Platform will be corrected. We do not guarantee the outcome of using any of the products or services purchased through the Platform, nor do we guarantee their suitability for your specific needs or circumstances.
- 13.2.5.3. Freedom from Harmful Components: The Platform will be free from bugs, viruses, malware, or any other harmful components that could damage your device or compromise your personal data. While we implement reasonable security measures to protect the Platform, we cannot guarantee that the Platform is entirely free from such threats.
13.2.6. You acknowledge and agree that any use of the Platform is at your sole risk. You are solely responsible for any damage to your device, loss of data, or any other issues that may arise from your use of the Platform. www.impact-medical.ca is not liable for any such damage or loss, and you agree to take full responsibility for safeguarding your devices, data, and personal information.
14. Third-Party Data Disclaimer
14.1. www.impact-medical.ca may integrate with or rely on third-party services to provide certain functionalities, such as payment processing, data analytics, cloud storage, and security enhancements. By using our platform and services , users acknowledge and agree to the following:
14.1.1. Use of Third-Party Services: Certain features of our platform may be powered by third-party providers, including but not limited to:
- 14.1.1.1. Payment Gateways (for subscription processing)
- 14.1.1.2. Cloud Storage Services (for secure data storage)
- 14.1.1.3. Data Analytics Tools (to improve platform performance)
- 14.1.1.4. API Integrations (for market data and trading insights)
14.1.2. Third-Party Services Disclaimer: The Company does not own, control, or manage third-party services integrated with www.impact-medical.ca and is not responsible for their availability, security, or performance. Users acknowledge that interactions with such services are at their own risk and must review and accept the applicable third-party terms before use.
15. Force Majeure
15.1. The Company shall not be liable for any failure or delay in the performance of its obligations under this Agreement (except for payment obligations) if such failure or delay is due to an event or circumstance beyond the reasonable control of the affected Party (“Force Majeure Event”). Force Majeure Events shall include, but are not limited to:
- 15.1.1. Acts of God, such as earthquakes, floods, hurricanes, tsunamis, fires, or other natural disasters;
- 15.1.2. Pandemics, Epidemics, and Public Health Crises, including but not limited to COVID-19, SARS, or any government-imposed quarantines or travel restrictions;
- 15.1.3. Acts of War and Terrorism, including armed conflict, military actions, civil disturbances, riots, and insurrections;
- 15.1.4. Government Actions, such as embargoes, sanctions, expropriation, or regulatory changes affecting the execution of this Agreement;
- 15.1.5. Cybersecurity Events, including cyberattacks, ransomware, data breaches, and widespread technological failures;
- 15.1.6. Other Unforeseen Events, such as failures of utilities, telecommunication breakdowns, or disruptions in transportation and logistics.
15.2. The Company shall provide written notice to the User as soon as reasonably practicable, detailing the nature of the Force Majeure Event, its impact on performance, and the expected duration.
15.3. Use reasonable efforts to mitigate the effects of the Force Majeure Event and resume performance as soon as possible and keep the other Party informed of developments relating to the Force Majeure Event and any efforts taken to remedy the situation.
15.4. Notwithstanding anything to the contrary, Force Majeure shall not excuse the User from any payment obligations accrued before the occurrence of the Force Majeure Event.
16. Termination
16.1. The Company reserves the right to terminate, suspend, or restrict a user’s access to our platform and services, with or without prior notice, under the following circumstances:
- 16.1.1. If a user is found sharing, redistributing, sublicensing, or pirating the platform, their access will be permanently revoked. This includes transferring login credentials or allowing unauthorized users to access our platform .
- 16.1.2. Any attempt to reverse engineer, decompile, modify, or manipulate the platform’s code, algorithms, or functionalities will result in immediate termination of access. Users are strictly prohibited from attempting to bypass licensing mechanisms or security protections.
- 16.1.3. If a user fails to comply with these Terms & Conditions (T&C) or applicable legal and regulatory requirements, including financial and data protection laws, their access may be revoked. This includes misuse of www.impact-medical.ca in a way that breaches intellectual property rights, or e-commerce laws.
- 16.1.4. If a user is involved in fraudulent, deceptive, or malicious activities while using www.impact-medical.ca, their access will be suspended or permanently revoked. Fraudulent activities may include misrepresentation of identity, unauthorized financial transactions, and exploitation of system vulnerabilities.
17. Governing Law and Dispute Resolution
17.1. Governing Law
- 17.1.1. These Terms shall be governed by the laws of Ontario, Canada. Any disputes arising under or in connection with these Terms will be resolved through binding arbitration, as described in the dispute resolution section of the T&C.
17.2. Dispute Resolution
- 17.2.1. Any disputes, claims, or controversies arising out of or in connection with these Terms, including their interpretation, validity, or breach, shall be resolved exclusively through arbitration.
- 17.2.2. The arbitration proceedings will be held in Ontario, Canada.
- 17.2.3. The arbitration shall be governed by the provisions of the Commercial Arbitration Act and any amendments thereto.
- 17.2.4. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. If the parties fail to agree on an arbitrator within 30 days of a dispute being raised, the arbitrator shall be appointed in accordance with the rules of the Commercial Arbitration Act.
- 17.2.5. The arbitration proceedings shall be conducted in English and shall follow the procedural rules agreed upon by the parties or, in the absence of such agreement, as determined by the arbitrator.
- 17.2.6. The arbitral award shall be final and binding on both parties and shall be enforceable in accordance with the provisions of the Commercial Arbitration Act.
17.3. Jurisdiction
- 17.3.1. Subject to the above arbitration clause, the courts in Ontario, Canada, shall have exclusive jurisdiction over any legal proceedings related to these Terms.
18. Miscellaneous
18.1. Amendment
- 18.1.1. The Company reserves the right to modify, update, or amend these Terms at any time, at its sole discretion. Any changes will become effective upon posting the updated Terms on the application or notifying the users through other appropriate means, such as email or in-application notifications.
- 18.1.2. Users are responsible for regularly reviewing these Terms to stay informed of any modifications. Continued use of the application after such changes constitutes acceptance of the revised Terms. If a user does not agree with the updated Terms, they must discontinue use of the application immediately.
18.2. Severability
- 18.2.1. If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
19. Acknowledgment
19.1. By using this Platform and purchasing our products, you acknowledge that you have read, understood, and agree to be bound by these Terms. You further confirm that you are aware of any legal or regulatory requirements related to the purchase and use of medical supplies in your jurisdiction.
